BUSINESS SYSTEMS”) Terms and Conditions of Sales
PLEASE READ THESE TERMS AND CONDITIONS
OF SALES VERY CAREFULLY.
THE
TERMS AND CONDITIONS OF SALES ARE LIMITED TO THOSE CONTAINED HEREBY
ADDITIONAL OR DIFFERENT TERMS IN ANY FORMS DELIVERED BY CUSTOMER ARE
DEEMED TO BE MATERIAL ALTERATIONS AND NOTICE OF OBJECTION TO THEM
AND
REJECTION OF THEM IS HEREBY GIVEN.
BY ACCEPTING DELIVERY OF THE PRODUCTS
AND SERVICE DESCRIBED IN PERFECT BUSINESS SYSTEMS’S OR OTHER PERFECT
BUSINESS SYSTEMS DOCUMENTATION, CUSTOMER AGREES TO BE BOUND BY AND
ACCEPT
TERMS AND CONDITIONS OF SALE, UNLESS
CUSTOMER AND PERFECT BUSINESS SYSTEMS HAVE SIGNED A AGREEMENT, IN
WHICH CASE THE SEPARATE AGREEMENT WILL GOVERN.
Important Information About These Terms and conditions of Sale
These terms and
conditions of sale constitute a binding contract between Customer
and PERFECT BUSINESS SYSTEMS .accepts
these terms and
conditions of sale by making a purchase, placing an order or
otherwise PERFECT BUSINESS SYSTEMS’s Website (the “Site”). These
terms and conditions of sale are subjecting to change without except
that the terms and conditions of sale posted on the Site at the time
customer initially modifies an order will govern the order in
question.
Customer may issue a purchase order for
administrative purposes only. Additional or different conditions
contained in any such purchase order will be null and void.
Customer agrees that the conditions of sale contained herein and in
PERFECT BUSINESS SYSTEMS’s invoice or other documentation will
control. PERFECT BUSINESS SYSTEMS prior dealings between the
parties and no usage of trade will be relevant to determine the
terms and conditions of sale or and purchase order or invoice
related thereto.
Governing Law
THESE TERMS AND CONDITIONS OF SALE AND
ANY SALE HEREUNDER WILL BE GOVERNED BE OF THE GOVERNMENT OF GHANA
LAW.
Warranties Customer understands that PERFECT BUSINESS SYSTEMS is not
the manufacturer of the products purchased by customer and the only
warranties offered are those of the manufacturer, not PERFECT
BUSINESS SYSTEMS. In purchasing the product Customer is relying on
the manufacturer’s specifications only and is not relying
on any statement specifications in brochures, Photographs or other
illustrations representing the products that are Provided by PERFECT
BUSINESS SYSTEMS. In connection with services, neither affiliates
of PERFECT BUSINESS SYSTEMS or third party service agents of PERFECT
BUSINESS SYSTEMS and PERFECT BUSINESS SYSTEMS has no obligation or
liability arising form any services performed by Warranty, if any,
made by, such service providers. PERFECT BUSINESS SYSTEMS AND ITS
AFFILIATES HEREBY EXPRESS ALL WARRANTIES EITHER EXPRESS OR IMPLIED,
RELATED TO PRODUCTS SOLD OR SERVICES BY THIRD PARTIES OR AFFILIATES
OF PERFECT BUSINESS SYSTEMS, INCLUDING, WITHOUT LIMITATION, ANY
WARRANTY MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THIS
DISCLAIMER DOES NOT TERMS OF THE MANUFACTURER’S WARRANTY, IF ANY.
Pricing Information; Availability Disclaimer All pricing is subject
to change. PERFECT BUSINESS SYSTEMS reserves the right to make
adjustment to pricing, products service offerings for reason
including, but not limited to changing market conditions, products
discontinuation, product unavailability, manufacturer price changes
and errors in advertisement are subject to product availability.
Therefore, PERFECT BUSINESS SYSTEMS cannot guarantee that it will be
able to full orders.
Limitation of liability NEITHER PERFECT BUSINESS SYSTEMS NOR ITS
AFFILIATES WILL BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS
CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF
ADVISED OF THE POSITIVE SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD
PARTY. NEITHER PERFECT BUSINESS SYSTEMS NOR ITS AFFILIATES LIABLE
FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOST OR CORRUPTED
DATA SOFTWARE OR THE PROVISION OF SERVICES BY THIRD PARTIES.
CUSTOMER AGREES THAT LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR
SERVICES PROVIDED DIRECTLY BY AFFILIATES, NEITHER PERFECT BUSINESS
SYSTEMS NOR ITS AFFILIATED ARE LIABLE OR RESPONSIBLE FOR ANY AMOUNT
DAMAGES ABOVE THE AMOUNT PAID BY CUSTOMER FOR THE PRODUCT (S) OR
SERVICES RISE TO THE CLAM.
PERFECT BUSINESS SYSTEMS will not be responsible for any delays in
delivery which result form any
circumstances be control,
including without limitation, product unavailability, carrier delays
due to fire, services conditions, failure of power, labor problem,
acts of war, terrorism, general insurrection, acts of any government
or agency.
Third Party Services Customer acknowledges and agrees that, in some
instances, PERFECT BUSINESS SYSTEMS, PERFECT BUSINESS SYSTEMS ,
Affiliates are resellers of service and are not the provide of those
services. In those cases, the service Provider is the only party
responsible for providing service to customer. In those cases will
look solely to the third party service provider for any loss, clams
or damages arising from the purchase or provision of such services.
Customer hereby releases PERFECT BUSINESS SYSTEMS, PERFECT BUSINESS
SYSTEMS Technology and their affiliates from any and all claims
arising from, or relating t the purchase or provision services by
third party service providers. Services may be subject to tax.
All amounts, including associated with third party services are
being collected by behalf of PERFECT BUSINESS SYSTEMS solely in the
capacity as an independent sales agent.
Check Payment Policy
PERFECT BUSINESS SYSTEMS will accept a cashiers check or money order
on all COD order. PERFECT BUSINESS SYSTEMS will accept personal
checks up to ¢5,000,000, subject to Verification. PERFECT BUSINESS
SYSTEMS will accept and business cheques for orders. Allow 3
business days for clearing.
